1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Innobiz Advantix FZ-LLC ("Company," "we," "us," or "our"), a Free Zone Limited Liability Company registered in Ras Al Khaimah, United Arab Emirates.
By accessing or using our website located at innobizadvantix.com, or engaging our software engineering, IT consulting, and project management services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Business Activities & Commercial Services
Innobiz Advantix FZ-LLC is an authorized commercial entity in the United Arab Emirates with registered activities including:
- Software House (custom application architecture, development, and maintenance)
- Information Technology Consultants (enterprise cloud advisory and systems integration)
- Project Management Consultancy (technical project delivery and governance)
- Portal / Electronic Commerce Platform (digital checkout, billing workflows, and portal architecture)
- Lifestyle Development Consultancy (executive productivity and workflow strategy)
Specific commercial deliverables, timelines, compensation structures, and service level agreements (SLAs) are defined in executed Statements of Work (SOW) or formal client service agreements.
3. Intellectual Property Rights
Unless otherwise agreed in a separate bilateral master services agreement:
- Company Intellectual Property: All original content, website designs, trademarks, logos, code snippets, documentation, and underlying methodologies developed by Innobiz Advantix FZ-LLC remain the exclusive property of the Company.
- Client Deliverables: Custom software code and documentation engineered specifically for a client under a fully paid Statement of Work shall transfer in accordance with the specific provisions of that contract.
4. Permitted Use and Prohibitions
When using our website and services, you agree not to:
- Attempt unauthorized access to any system, server, database, or API associated with our domain.
- Transmit any malicious code, viruses, spyware, or harmful automated scripts.
- Misrepresent your identity or affiliation with any person or organization when submitting inquiries.
- Use our electronic commerce infrastructure for unlawful or fraudulent transactions.
5. Electronic Commerce and Payment Processing
Where services or digital products are invoiced or processed electronically, payments are securely facilitated through verified third-party payment gateways (such as Stripe). By executing an electronic transaction, you authorize our payment processor to charge the agreed commercial amounts. All fees and currency denominations are clearly stated before transaction completion.
6. Disclaimer of Warranties & Limitation of Liability
Our website and informational materials are provided on an "as is" and "as available" basis without warranties of any kind. To the fullest extent permitted by applicable law in the United Arab Emirates, Innobiz Advantix FZ-LLC disclaims all warranties, express or implied.

7. Governing Law & Dispute Resolution

Any disputes that cannot be settled amicably shall be subject to the jurisdiction of the competent courts of the United Arab Emirates.
